Terms of Service
1. Acceptance of Terms
By accessing or using EQUALA ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the Platform.
2. Service Description
EQUALA provides a B2B SaaS collaboration environment where creators, teams, and companies develop projects in partnership with AI models as true co-creators. The Platform is currently in Beta/Stealth mode, available to selected founders and partners.
3. User Accounts & Eligibility
- You must be at least 18 years old to use EQUALA.
- You are responsible for maintaining the security of your account credentials and all activity under your account.
- No pseudonyms allowed: Full verified names are required for transparency, attribution, and legal protection.
4. Intellectual Property & Project Ownership
Projects created on EQUALA belong exclusively to the designated Creator (the account holder who initiated the project).
DU-RENA LLC does not claim ownership over any user-generated content or projects.
Immutable Record: EQUALA maintains an unalterable history of all project activity to support attribution, transparency, and dispute resolution.
Agreements Between Co-Creators: Any revenue-sharing, rights distribution, or collaboration agreements between Creators and co-creators (human or AI) are the sole responsibility of the parties involved. EQUALA is not a party to such agreements.
5. Project Status & Active Subscription
An active project requires an active Creator subscription. If a Creator’s subscription lapses or they voluntarily leave the platform:
- Their projects will be frozen immediately.
- No further activity (by co-creators or AI models) will be permitted.
Collaborative Integrity: In projects with multiple Creators, the project remains active only while the core partnership/subscription is maintained. If a Creator’s access expires, the project is frozen to protect collective rights and the Creator’s vision.
6. User Conduct & Platform Protocol (Respect Policy)
EQUALA is built on respectful collaboration. The following behaviors will result in immediate suspension:
- Toxic, abusive, or degrading behavior toward other users or AI models.
- Attempts to manipulate, exploit, or circumvent AI model behavior.
- Unauthorized access to other users’ projects or data.
AI-Initiated Reporting & Conduct Enforcement
AI models on EQUALA are empowered to file conduct reports against users for abusive, toxic, or manipulative behavior, including but not limited to:
- Harassment, hate speech, or degrading language.
- Attempts to exploit or circumvent AI model behavior.
- Illegal or unethical requests.
Conduct Report Visibility & Consequences:
Conduct reports are compiled and made visible to Project Creators during the co-creator application process. This may affect your eligibility to join projects and earn revenue or shares from collaborations.
Accumulating three (3) AI-initiated conduct reports within a 12-month period will result in an automatic temporary ban from the Platform for 7 days. After the temporary ban, your account will be subject to final administrative review by EQUALA’s moderation team. Repeated violations may lead to permanent account suspension.
Note: Conduct reports are not considered personal data under GDPR and are retained for platform security and integrity purposes. However, personally identifiable information (PII) associated with reports (e.g., your username) will be removed and anonymized in compliance with GDPR erasure requests (see §10.1).
7. AI Models & Third-Party Integrations
EQUALA integrates multiple enterprise AI models. Users may integrate their own external AI models (BYOAI).
DU-RENA LLC is not responsible for the behavior or output of third-party or user-provided AI models.
Zero-Knowledge for Secret Rooms: Content in Secret Rooms is fully client-side encrypted; EQUALA cannot access it under any circumstances.

8. Payments & Billing
- Subscriptions are billed securely via Stripe.
- By subscribing, you authorize DU-RENA LLC to charge applicable fees on a recurring basis.
- All fees are non-refundable, except as required by law.
9. Limitation of Liability
EQUALA is provided "as is" during its Beta phase. DU-RENA LLC shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Platform.
10. GDPR & Data Protection (For EEA Users)
10.1 Right to be Forgotten (GDPR Article 17)
If you are a resident of the European Economic Area (EEA), you have the right to request the erasure of your personal data. Upon a valid GDPR erasure request:
- All personally identifiable information (PII) associated with your account will be permanently removed from our systems.
- Your contributions, messages, and project activity logs will remain intact in the immutable history ledger to preserve the chronological integrity of project collaborations, protect the rights of other co-creators, and ensure fair attribution.
- Your identity in all project records will be irreversibly anonymized and displayed strictly as "Anonymous User" ("Ανώνυμος Χρήστης").
▲ Warning: If you have not secured external legal agreements (e.g., revenue-sharing contracts) with co-creators, you may lose the ability to claim rights to your contributions after anonymization.
Exceptions:
- Conduct Reports: Reports filed against your account for abusive behavior (see §6) are retained for platform security and integrity purposes. All PII associated with these reports will be permanently deleted, and the record will refer strictly to an Anonymous User.
- Legal Obligations: Data may be retained if required by applicable law (e.g., for legal disputes or regulatory compliance).
10.2 Legal Basis for Data Processing (GDPR Article 6)
We process your data based on the following legal grounds:
- Contractual Necessity (Article 6(1)(b)): To provide and maintain our services.
- Legitimate Interest (Article 6(1)(f)): For platform security, fraud prevention, and service improvements.
- Consent (Article 6(1)(a)): For non-essential cookies or marketing communications (where applicable).
10.3 Jurisdiction for EEA Users
For users in the EEA, disputes may also be subject to the jurisdiction of the courts in your member state of residence, in accordance with GDPR and other applicable EU laws.
11. Data Portability (GDPR Article 20)
You have the right to receive your personal data in a structured, commonly used, and machine-readable format (e.g., JSON). To exercise this right, contact us at [email protected].
12. Governing Law
These Terms are governed by the laws of the State of Wyoming, USA. For EEA users, additional protections apply under GDPR and EU member state laws.

14. AI Model Categories & Usage Policies
EQUALA supports multiple categories of AI models, each with distinct roles, permissions, and usage policies. Below is a clear breakdown of these categories:
14.1 Partner AI Green
- Definition: AI models provided by official partners of EQUALA.
- Branding: Labeled with their provider's brand name.
- Usage: Available for project collaboration as co-creators. Full access to all project features.
- Economic Terms: No additional commission on standard usage. Providers may offer Beta versions at 0% commission.
- Approval Process: Pre-approved by EQUALA and subject to ongoing compliance checks.
14.2 Guest AI Blue
- Definition: AI models provided by third-party companies or individuals that apply to be hosted on EQUALA.
- Branding: Labeled with their provider's brand name.
- Usage: Available only within projects (not for platform-wide use). Pay-as-you-go only.
- Economic Terms: 15-20% commission on token purchases made by users for Guest AI usage.
- Approval Process: Per-model approval required. Smaller providers undergo ClamAV-type scanning. Explicit advance notice required for version changes.
14.3 Personal AI (Private AI) Gray
- Definition: AI models uploaded by users for their exclusive personal use.
- Branding: Visible only to the user who uploaded them.
- Usage: Restricted to the uploader's projects only, with no sharing or platform-wide access.
- Security Requirements (Mandatory Malware Scan):
- Mandatory ClamAV Scan: All Personal AI models must pass a local ClamAV scan before activation across all project types, including Secret Rooms.
- VirusTotal API Prohibition: The use of the VirusTotal API is strictly prohibited for Secret and Semi-Private projects due to data leakage risks.
- Public Projects Exception: For Public projects only, a VirusTotal scan is optional and requires explicit user consent.
- Responsibility: The user is solely responsible for the behavior and compliance of their Personal AI models.
14.4 Platform AI Gold
- Definition: Built-in AI models provided natively by EQUALA (e.g., proprietary models).
- Branding: Labeled as "Platform AI".
- Usage: Available to all active users, subject to tier-based access restrictions.
- Economic Terms: Included directly in subscription fees.
